Welcome to Nuralia ("Company," "we," "us," or "our"). These Terms of service ("Terms") govern your access to and use of Nuralia’s website, software, applications, AI tools, and content generation platforms (collectively, the "Services").By creating an account, accessing, or using Nuralia, you agree to be bound by these Terms and our Privacy policy. If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity.

1. Description of services

Nuralia provides SaaS-based content creation tools, interactive authoring software, and artificial intelligence-assisted design and generation features to help users create presentations, courses, documents, and learning materials.

2. Account registration & security

Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

Account integrity: You must provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Notification: You agree to notify Nuralia immediately of any unauthorized use or security breach of your account.

3. User content & intellectual property

A. Your content & inputs
‍You retain ownership of any text, images, media, data, or materials you upload, input, or import into Nuralia ("User content").By submitting User content, you grant Nuralia a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit your User content solely to the extent necessary to provide, maintain, and improve the Services.

B. Generated outputs
‍Subject to your compliance with these Terms and applicable laws:

‍Ownership: As between you and Nuralia, you own all output, courses, decks, and content generated for you by the Services based on your inputs ("Generated output").

‍AI limitations: You acknowledge that AI-generated content may not always be unique, error-free, or accurate. Other users entering similar prompts may generate similar outputs.

C. Nuralia platform IP
‍Nuralia retains all right, title, and interest in and to the platform, including our software, user interface design, templates, brand assets, proprietary algorithms, and underlying AI models (excluding your User content and Generated outputs).

4. Subscriptions, payments, & cancellations

Billing & fees: Certain features require a paid subscription. All fees are billed in advance on a recurring monthly or annual basis.

‍Renewals: Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date.

‍Cancellations: You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period; refunds are not provided for partial billing periods unless required by law.

‍Price changes: Nuralia reserves the right to modify subscription fees upon prior written notice.

5. Acceptable use policy

You agree not to use Nuralia to:
1. Violate any applicable laws, third-party rights, or intellectual property rights.
2. Generate, store, or share harmful, unlawful, defamatory, abusive, or discriminatory content.
3. Upload content containing malware, viruses, or destructive code.
4. Attempt to reverse engineer, decompile, or extract the source code or underlying AI models of Nuralia.
5. Perform automated scraping or bulk automated queries without explicit written permission.
6. Misrepresent AI-generated content as fully human-created where disclosure is required by law or ethical standards.

6. Service availability & AI performance

Service availability: We strive for high availability but do not guarantee uninterrupted access. We reserve the right to perform routine maintenance or modify features.

‍AI output disclaimer: Generated Outputs are produced using automated algorithms and AI models. Nuralia makes no guarantees regarding the accuracy, completeness, or suitability of generated materials for educational, legal, or compliance requirements. You are responsible for reviewing and verifying all generated content prior to publishing or distribution.

7. Limitation of liability & disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NURALIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT.

‍To the fullest extent permitted by law, Nuralia and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data arising out of or related to your use of the Services.

8. Termination

We reserve the right to suspend or terminate your access to Nuralia immediately, without prior notice or liability, if you violate these Terms or engage in conduct harmful to the platform or other users.

9. Governing law & jurisdiction

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the state or federal courts located in the State of Delaware.
